Terms of Service

Effective August 2, 2026

These Terms govern your purchase and use of AVA Operator from Jugaar LLC, a Delaware limited liability company (“Jugaar”, “we”, “us”). AVA Operator is offered only to businesses and professional users, not for personal, family or household use. By ordering or using the service on behalf of an organisation, you confirm that you have authority to bind that organisation.

Service and licences

AVA Operator is commercial management, tenancy, distribution and support software licensed under the Elastic License 2.0. It is used with the separately MIT-licensed AVA Core; the Operator licence does not change the Core's MIT licence. Your right to use the Operator components is governed by the Elastic License 2.0, these Terms and your order. Provider accounts, telephony service, PBX hardware and AI usage charges are not included unless an order expressly says otherwise.

Subscriptions and capacity

Subscriptions renew monthly until cancelled. The price, included capacity and any Customer or Agent add-ons are shown at checkout or in your order. Capacity increases may be charged on a prorated basis immediately; decreases take effect at the next renewal. Taxes and currency conversion charges may apply.

Cancellation and refunds

You may cancel future renewal at any time. Cancellation does not erase charges already incurred. The first successful subscription payment is eligible for a refund requested within 14 days. Renewals are non-refundable except where required by law. The complete policy is in our Refund and Cancellation Policy.

Your responsibilities

You are responsible for your PBXs, networks, backups, provider credentials, provider charges and the configuration and use of Agents. You must have authority to process caller information and must provide recording, AI and privacy notices or obtain consent where law requires it. Do not rely on AVA Operator for emergency calling, life-safety systems or decisions where an automated error could cause serious harm.

Acceptable use and security

You must comply with our Acceptable Use Policy. Keep credentials and installation tokens secure, use reasonable access controls and tell us promptly about suspected compromise. We may restrict Hub or management access to address abuse, security risk, non-payment or legal requirements. Licence enforcement gates management actions; it does not stop existing Agents or call handling. We do not control failures in your infrastructure or third-party providers.

Availability, changes and support

We may change or discontinue features as the product develops. We will use reasonable efforts to avoid disruptive changes and to communicate material subscription changes before they take effect. Unless your order includes a separate service-level agreement, no specific uptime or response-time commitment applies.

Disclaimers and liability

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Jugaar is not liable for indirect, incidental, special, consequential or lost-profit damages. To the maximum extent permitted by law, Jugaar's aggregate liability arising from the service will not exceed the fees you paid for AVA Operator during the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot legally be excluded.

Termination

Either party may terminate for a material breach that is not cured within a reasonable notice period, or immediately where continued service would be unlawful or create a serious security risk. Provisions that by their nature should survive termination—including payment obligations, licence limits, disclaimers and liability limits—will survive.

Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. To the extent a dispute may be brought in court, each party submits to the exclusive jurisdiction of the state and federal courts located in Delaware. Mandatory rights or forums that cannot lawfully be waived remain unaffected.
